A crucial part of any business transfer is the vetting process. Like kicking the tires of a car, a prospective buyer needs to inspect the finances, operations, records, and functions of the business for sale to properly analyze the associated risks. Our firm can help track down and compile the documents a selling business needs, and, if representing the buyer, can give guidance as to what documents to seek out and diligence factors to consider.
Skilled legal advice is necessary to make sure that you not only get the best return on your investment as a buyer or seller of a business, but that you are also protected legally from any hiccups down the line. The attorneys at Leigh B. Meineke Law Firm are well-versed in helping business owners navigate the purchase or sale process from beginning to end. Our firm will guide you through the necessary steps, from preparing the business for merger or sale, to negotiating purchase terms, drafting the appropriate sale documents (asset purchase, business buyout, merger agreements, etc.), through the closing and any post-sale issues that arise.
For over 20 years, Leigh B. Meineke Law Firm has provided advice, general counsel services, and effective trial advocacy for businesses throughout Harris County, Texas. The NFIP provides flood insurance to property owners, renters and businesses, and having this coverage helps them recover faster when floodwaters recede. The NFIP works with communities required to adopt and enforce floodplain management regulations that help mitigate flooding effects.
Flood insurance is available to anyone living in one of the 23,000 participating NFIP communities. Homes and businesses in high-risk flood areas with mortgages from government-backed lenders are required to have flood insurance.
The decision regarding business structure is a decision that a person should make, in consultation with an attorney and accountant, and taking into consideration issues regarding tax, liability, management, continuity, transferability of ownership interests, and formality of operation.
Sole proprietorship: The most common and the simplest form of business is the sole proprietorship. In a sole proprietorship, a single individual engages in a business activity without necessity of formal organization. If the business is conducted under an assumed name (a name other than the surname of the individual), then an assumed name certificate (commonly referred to as a DBA) should be filed with the office of the county clerk in the county where a business premise is maintained. If no business premise is maintained, then an assumed name certificate should be filed in all counties where business is conducted under the assumed name.
General partnership: A general partnership is created when two or more persons associate to carry on a business for profit. A partnership generally operates in accordance with a partnership agreement, but there is no requirement that the agreement be in writing and no state-filing requirement. If the business of the partnership is conducted under an assumed name (a name that does not include the surname of all of the partners), then an assumed name certificate (commonly referred to as a DBA) should be filed with the office of the county clerk in the county where a business premise is maintained. If no business premise is maintained, then an assumed name certificate should be filed in all counties where business is conducted under the assumed name.
Limited Partnership: A Texas limited partnership is a partnership formed by two or more persons and having one or more general partners and one or more limited partners. The limited partnership operates in accordance with a partnership agreement, written or oral, of the partners as to the affairs of the limited partnership and the conduct of its business. While the partnership agreement is not filed for public record, the limited partnership must file a certificate of formation with the Texas Secretary of State. The Secretary of State provides a form that meets minimum state law requirements. Online filing of the certificate of formation is provided through SOSDirect. 041b061a72
